Terms of Service for Repilo AI

These Terms of Service ("Terms") govern your use of the Repilo AI platform and the Riley Engine ("the Software," "we," "our," "us"). By accessing or using the Software, you ("user," "you," "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software.
1. Services Provided
Repilo AI provides dental practices and local businesses with specialized AEO (Artificial Intelligence Engine Optimization) tools to manage and enhance their digital authority through the following features:
AEO Aggregation: Display and restructuring of reviews and metadata from various platforms (e.g., Google, Facebook) into a unified, AI-readable interface.
Riley AI-Powered Responses: Use of artificial intelligence to generate and post high-authority responses to customer reviews.
Selection Request Campaigns: Automated email and SMS campaigns to request reviews, private feedback, and video testimonials via optimized landing pages.
Authority Sharing: Deployment of reviews on user websites via widgets and social media through the generation of high-fidelity, review-based visual assets.
AEO Analytics: Access to proprietary data and "Selection Probability" reports on the performance of clinical reputation across LLM networks.
Process Automation: Tools to automate the review-capture cycle through pre-configured AEO workflows.
2. Eligibility
To use the Software, you must:
Be at least 18 years old or the legal age of majority in your jurisdiction.
Have the authority to enter into legally binding agreements on behalf of a clinical or business entity.
Agree to comply with these Terms and all applicable medical, dental, and data regulations.
3. Account Registration
To access the Riley Engine, you must register for an account. You agree to:
Provide accurate and up-to-date information during the registration process.
Maintain the confidentiality of your Repilo login credentials.
Notify us immediately of any unauthorized access.
We reserve the right to suspend or terminate accounts found to contain false or misleading information regarding clinical identity.
4. License to Use
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your professional business purposes. You agree not to:
Reverse-engineer, decompile, or attempt to extract the source code of the Riley Engine.
Use the Software for any unlawful purpose or to manipulate AI recommendation logic via "black-hat" or deceptive data practices.
5. User-Generated Content
By using the Software to manage metadata and respond to reviews, you agree that:
You are solely responsible for the content uploaded or transmitted through the Software.
You must possess the rights to use and share the testimonials and feedback submitted.
We may monitor or remove content that violates these Terms, though we are not obligated to do so.
6. Artificial Intelligence Usage
Repilo AI uses proprietary AI (The Riley Engine) to generate responses and restructure data. By using this feature, you agree that:
AI-generated responses are based on training data and pre-set parameters; you are responsible for reviewing and approving responses before they are finalized.
We are not liable for disputes arising from AI-generated content, including responses that may be perceived as inaccurate or inappropriate.
7. Payment and Subscription
Repilo AI operates on a subscription and "Sprint" model. By subscribing, you agree to:
Pay the fees associated with your selected AEO plan as outlined on our pricing page.
Acknowledge that all fees are non-refundable due to the immediate allocation of high-compute AI resources upon service initialization.
We reserve the right to modify pricing, with changes taking effect at the end of your current billing cycle.
8. Termination
We reserve the right to terminate access without notice for violations of these Terms, non-payment of fees, or activities that compromise the integrity of the Repilo network. Upon termination, your license to use the Riley Engine ceases immediately.
9. Intellectual Property
All materials within the Software, including the "Riley Engine" name, logos, "Nebula-X" design elements, and AEO logic sequences, are owned by Repilo AI. No unauthorized use is permitted.
10. Data Privacy
Your use of the Software is subject to our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimer of Warranties
The Software is provided "as is." We do not guarantee that AI models (third-party LLMs) will always select or recommend your business, as these models are controlled by external entities (OpenAI, Google, etc.).
12. Limitation of Liability
To the maximum extent permitted by law, Repilo AI shall not be liable for indirect or consequential damages, including loss of clinical revenue or "de-indexing" by third-party AI platforms. Our total liability is limited to the amount paid by you for the Software in the twelve (12) months prior to the claim.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction, e.g., the United Kingdom], without regard to conflict of law principles.
